These Terms and Conditions (“Terms”) govern your use of this website and apply to requests for quotation, purchase orders, and supply of goods by CNBP Plastics Sdn Bhd (“CNBP”, “we”, “us”). By accessing the site or submitting an enquiry, you agree to these Terms.
1. Website use
The website and its content are provided for general information. We aim to keep material accurate and current, but provide no warranty that content is error‑free or fit for a particular purpose. Your use of information is at your own risk. Links to third parties (e.g., maps or standards bodies) are provided for convenience and do not imply endorsement.
2. Requests for quotation (RFQ)
RFQs should include drawings, resin specifications, estimated volumes, secondary operations, packaging, and delivery terms. Quotes are valid for the period stated (typically 30 days) and are subject to review in case of material cost changes or design revisions.
3. Orders and acceptance
An order is accepted when we confirm in writing (email or order acknowledgment). Any pre‑production samples or validation plans form part of the contract. Customer terms that conflict with these Terms are rejected unless expressly agreed by CNBP in writing.
4. Tooling and intellectual property
Tooling ownership and custody will be set out in the quotation or separate tooling agreement. Customer‑owned tools are stored and maintained with reasonable care. CNBP will not disclose customer drawings or proprietary information except to personnel and suppliers who need it to fulfil the order and who are bound by confidentiality.
5. Quality and compliance
Parts are produced to the agreed drawings, specifications, and process parameters. Where required, we provide certificates of analysis or conformity and retain samples. Validation (IQ/OQ/PQ) and PPAP activities will follow a mutually agreed plan. Unless stated, our parts are not sterilised; sterile barrier packaging and sterilisation remain the customer’s responsibility.
6. Delivery and risk
Delivery terms follow the Incoterms stated in the quotation or order. Title and risk pass according to those terms. Delivery dates are estimates and may vary due to material availability, force majeure, or validation findings. We will communicate delays promptly.
7. Prices and payment
Prices exclude taxes unless stated. Payment terms are as agreed in the order or on the invoice. CNBP may suspend deliveries for overdue balances. For tooling, staged payments may apply (e.g., design approval, T1 samples, and final acceptance).
8. Warranty and remedies
CNBP warrants that products will conform to the agreed specification at shipment. Your sole remedy for breach is repair, replacement, or credit at our option. To preserve remedies, notify us in writing with evidence of non‑conformity within a reasonable period after delivery. Consumables and misuse are excluded.
9. Limitation of liability
To the maximum extent permitted by law, CNBP is not liable for indirect or consequential losses, loss of profits, or production downtime. Our aggregate liability related to any order is limited to the price paid for the affected goods. Nothing excludes liability for death or personal injury caused by negligence.
10. Compliance and ethics
You agree not to request or introduce any materials that would breach applicable medical device, safety, or environmental regulations. Each party will comply with anti‑bribery, export control, and data protection laws relevant to the transaction.
11. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control including natural disasters, strikes, epidemics, or supplier failures. If such an event continues beyond thirty days, either party may suspend or cancel undelivered portions of the order without penalty.
12. Governing law
These Terms are governed by the laws of Malaysia. Disputes will first be discussed in good faith between authorised representatives before any formal proceedings.
